Business Partnership Agreement Outline

PARTNERSHIP AGREEMENT OUTLINE — TechFlow Solutions LLC Partners: Alex (CEO/Sales, 50%) and Jordan (CTO/Engineering, 50%) Capital Contributions: Alex — $25,000 cash + client relationships. Jordan — $10,000 cash + proprietary codebase (valued at $15,000 by mutual agreement). Roles: Alex — business development, sales, operations, hiring non-technical. Jordan — all technical decisions, product development, engineering hiring. Both must approve: expenditures over $5,000, new hires, contracts over $10,000, taking on debt, adding new partners. Profit Distribution: 50/50 after operating expenses. Monthly draw: $5,000 each starting Month 6 (or when revenue exceeds $15K/month, whichever comes first). IP Ownership: All IP created for TechFlow belongs to TechFlow. Jordan retains ownership of pre-existing codebase but grants TechFlow perpetual, royalty-free license. Any improvements to pre-existing code become TechFlow IP. Exit Provisions: 90-day written notice required. Departing partner must offer shares to remaining partner at fair market value (determined by agreed-upon valuation method or independent appraiser). 2-year non-compete within same industry and geography. Dispute Resolution: 30-day good-faith negotiation → mediation → binding arbitration (AAA rules). No litigation unless arbitration fails.
